For example, resilience is discussed in Topic 7. Resilience is the capacity to recover quickly from difficulties. Hamel and Välikangas, (2003) define it as continuous reconstruction (not just improvement) working on values, processes and behaviors. Theory: is a supposition or a system of ideas intended to explain something. Executive Summary 
The primary purpose of the report is to evaluate and analyze the corporate governance at BHP 
Billiton. The report would provide an overview of the concerned contextual factor and then 
continue with the discussion on how corporate governance at BHP can contribute to the 
enhancement of the company’s business growth and development, and its market reputation and 
market share. The report would analyze and convey how BPH can utilize its governance

Introduction 
Background 
Contextual factors refer to those characteristics that define an organization’s internal and 
external environment, and environmental factors encompassing legislations, business risks, 
technological changes and challenges, etc. Contextual factors, if properly utilized by an 
organization, can eventually help a business entity in accomplishing its organizational objectives 
and goals in a timely and effective manner. Corporate governance is among those contextual 
factors that often determine the success or failure of a business organization in the long-run 
primarily because; without proper governance structure it is quite difficult for a company to 
actually sustain its existence in the long run (Lashgari, 2004). And it is in respect of corporate 
governance that the efficacy of BHP Billiton should be emphasized.  
Aims/Objectives 
The primary objective of the report is to explore, analyze and then reveal how BHP 
Billiton has used its corporate governance structure to bring about enhancement in its business 
and to gain competitive advantages over its rivals in the industry. Moreover, the report aims at 
exploring how through establishing an effective corporate governance structure, BHP has been 
able to sustain its leadership position in the market despite facing several critical challenges in 
the past. 
Scope  
The report would provide a clear and concise idea to the target audience about how proper 
corporate governance can actually help an organization in gaining the competitive edge that is
