Board members monitor, evaluate and influence, initiate, and determine, but most specifically, they shape the organization's goals and mission. I would recommend that the board members consist of a diverse group of people. They should consist of outside directors who have broad industry experience. They should have extensive financial knowledge and background. They must be strategic thinkers, problem solvers, and active coaches, mentors, and active participants of the community. Diversity ensures that board members identify with the organization's needs. They will be able to provide a vital perspective on specific issues and encourage consideration of additional viewpoints. Outside directors are board members who have broad industry experience. They will have less conflict of interest and will have a different perspective on how they view the challenges of the corporation. Outside board directors can see all sides of a problem and find the best solution. They are not part of the executive management team, not stakeholders, and not employees of the corporation. Board members should have extensive financial knowledge and background. They will be able to provide and ensure effective financial planning within the corporation. They will ensure adequate financial resources, protect assets, and provide proper financial oversight by being financially conservative. Structure-driven board members are strategic thinkers and problem solvers. They will be able to design effective leadership practices, policies, and procedures for the organization. Knowledge-driven board members will serve as active coaches and mentors to the managing directors, executives employed by the corporations. Community-oriented board members are well informed and invested in the community's needs and success. They will be able to find ways to generate financial resources as well as advocate and connect the organization with the community. The most important one is to have board members who are outside directors. They will be able to give unbiased advice, a different perspective from that of insiders. They tend to be more objective with their decision-making. Having an outside director also sends a message that the corporation is a serious organization and values the external resources and contacts of the industry.
